TONO's annual meeting will take place at the House of Literature in Oslo tonight. Board members, chairman and deputy chairman are some of the positions to be elected.

To be able to attend the meeting, one must be a shareholder in the cooperative TONO SA. According to the current articles of association, board members, alternate members, chairman, deputy chairman and members of various committees shall be elected. The election committee prepares the elections, cf. section 24 (4) of the articles of association.

Election of board members

TONO's board currently consists of eleven board members, two of whom are from the Norwegian Composers' Association (NKF), two from NOPA, two from Musikkforleggerne (MF), three vacant positions, and two employee representatives from TONO's administration. Independent shareholders can also be elected to the vacant positions, in other words shareholders without any connection to NKF, NOPA or MF. According to the plan, TONO's annual meeting tonight will elect five board members and five deputy representatives for two years.

This year, however, TONO's board has submitted a resolution proposal to be discussed at the annual meeting, ahead of the election. The board proposes to remove one of the vacant seats, while reserving the remaining two for independent TONO shareholders.

TONO's employees are, according to Section 67 (2) of the Cooperatives Act, entitled to up to four board members (up to three, if the number of board members is reduced by one in line with the board's proposal), and have decided that they wish to be represented with three seats, not two as has been the practice in recent years. TONO's employees have elected their representatives in internal elections.

If the board's proposal is not adopted, five board seats and five alternate seats will be up for election, cf. TONO's statutes § 30 (1)-(4), cf. §§ 28 (1)-(3)). The following are up for election in 2019 (emphasized):

The employee representatives are elected according to separate rules set out in the Act on Municipal and County Council Elections, by and among TONO's employees.

If the annual meeting adopts the board's resolution proposal, it will have the consequence that Frida Ånnevik will have to leave the board, as she is a NOPA member and her vacant seat in this case will lapse. The two remaining vacant seats will then be reserved for independent TONO shareholders.

Chairman and committees

After the election of board members, the annual meeting will continue with the election of the chairman, deputy chairman, and members of the control committee, scholarship committee, and election committee.

The results of the elections during the 2019 annual meeting will be published on TONO's website no later than the day after the annual meeting.

TONO's election committee consists of Nils Henrik Asheim, chairman (Norwegian Composers' Association), Kristin Andersen (Music Publishers), Lars Martin Myhre (NOPA) and Dag Erik Knedal Andersen (Fri plass/independent).
